Terms of Service

01 Acceptance & eligibility

By accessing or using the Service you confirm that you are at least 18 years old (or the age of majority where you live) and that you have the authority to enter into these Terms, individually or on behalf of the entity you represent. If you do not agree, do not use the Service.

02 The Service

We provide automation software products and related tools. We may modify, suspend, or discontinue any part of the Service at any time, and features may be offered on a beta or evaluation basis without warranty. We are not obligated to store or retain any content or output you generate.

03 Your responsibilities

• You are responsible for the accuracy and legality of information you submit and for any activity under your account or access.
• You must keep any credentials confidential and notify us promptly of unauthorized use.
• You are solely responsible for evaluating, testing, and validating any output before relying on it in your business.

04 Intellectual property

The Service, including all software, designs, text, graphics, trademarks, and other materials, is owned by AmeriGA™ or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. No rights are granted except as expressly stated.

If you send us feedback, ideas, or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or obligation to you.

05 Automation tools & AI-generated output

Our automation tools, including the Automation Blueprint generator, produce AI-assisted, informational output. Such output is provided for general guidance only, may be inaccurate or incomplete, and does not constitute professional, legal, financial, or engineering advice. You are solely responsible for reviewing, validating, and deciding whether to act on any output, and AmeriGA™ is not liable for any decision made or action taken in reliance on it.

06 Acceptable use

You agree not to:

• Use the Service in violation of any law or the rights of others.
• Reverse engineer, scrape, resell, or create derivative works from the Service except as permitted by law.
• Introduce malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service.
• Submit content that is unlawful, infringing, or that includes third-party personal or confidential data without authorization.

07 Third-party services

The Service may integrate with or link to third-party products and websites. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and policies.

08 Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

09 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AmeriGA™ AND ITS AFFILIATES, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED EUROS (€100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited by law (such as for death, personal injury, or fraud).

10 Indemnification

You agree to indemnify and hold harmless AmeriGA™ and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

11 Suspension & termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive.

12 Governing law & disputes

These Terms are governed by the laws of the jurisdiction of AmeriGA™'s principal place of business, without regard to conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute, except where mandatory law grants you the right to bring proceedings in your place of residence.

13 Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, indicated by the “Last updated” date above. Your continued use of the Service after changes constitutes acceptance.

14 General

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms are the entire agreement between you and us regarding the Service. We are not liable for delays or failures caused by events beyond our reasonable control.
